    Davis Polk & Wardwell advised Chase Securities Inc. and Morgan Stanley & Co. Incorporated as joint dealer managers and joint lead managers in connection with a $1 billion SEC-registered Brady Bond exchange offering by the Republic of the Philippines.

    Davis Polk & Wardwell advised Credit Suisse First Boston (Europe) Ltd. and J.P. Morgan Securities Ltd. as joint book-running lead managers of the Euro 991 million global secondary offering of 55,079,940 shares of Rhodia, a French producer and manufacturer of specialty chemicals. The Rhodia shares were sold in an SEC-registered public offering by Rhone-Poulenc, SA, which prior to the 1998 IPO of Rhodia had 100 percent of the ownership. The shares were offered worldwide as shares, and in the United States in the form of ADSs.
