New Firm Represents TheFirst Merger
Between Leading Washington and New York Law Firms

WASHINGTON, D.C. and NEW YORK,July 15, 1998 - Washington, D.C.-based Swidler & Berlin andNew York City-based Shereff, Friedman, Hoffman & Goodman,LLP, today jointly announced that their partners haveoverwhelmingly approved a merger of the two law firms. The newfirm, Swidler Berlin Shereff Friedman, LLP, will combine Swidler& Berlin's 175 attorneys with Shereff, Friedman's 65, rankingit among the largest and most profitable law firms in thecountry. Each of the firms has had several successive recordyears in terms of profits and revenues. The merger thusrepresents the extraordinary combination of two independentlystrong firms in the key legal markets in the United States.

The merger, set to close August 1,1998, will combine two highly successful firms, joining Swidler& Berlin's leading regulated industries and governmentaffairs practice with Shereff Friedman's highly successfultransactional and securities practices. The creation of a singlefirm will allow each of the component firms to draw upon thestrengths of the other, thus providing clients with a combinedWashington - New York capability. Moreover, the joining of thenationally recognized litigation practices at each of the firmswill provide the new firm's clients with exceptional resourcesand expertise. In addition to meeting the expanding needs of itsoverseas and domestic clients in both the Washington regulatoryenvironment and the Wall Street financial arena, the new firmwill have the ability to provide premier services in the areas oftelecommunications, insurance coverage, energy, structuredfinance, real estate, housing, venture capital, generallitigation, bankruptcy, tax, government affairs and environmentallaw.
